Welcome to La Ruche LLC! By engaging our services, you ("Client") agree to comply with and be bound by the following terms and conditions. Please review them carefully.
La Ruche LLC ("we", "us", "our", "Service Provider") provides workshops and consulting services focused on personal and group well-being, collective development, and conscious interaction with nature and the environment. Specific services and their details will be outlined in a separate Service Agreement or proposal, which will be provided to the Client prior to engagement.
The Client agrees to provide all necessary information, access, and cooperation required for La Ruche LLC to perform the agreed-upon services. This includes, but is not limited to, timely communication, providing feedback, and adhering to any agreed-upon schedules, attendance requirements, and participation guidelines.
All materials, content, methodologies, workshop designs, presentations, coaching frameworks, and other intellectual property developed or provided by La Ruche LLC during the course of service delivery remain the exclusive property of La Ruche LLC, unless otherwise expressly agreed upon in writing. The Client is granted a limited, non-exclusive, non-transferable license to use such materials solely for its internal, non-commercial purposes directly related to the specific services received from La Ruche LLC.
Both parties agree to treat all non-public, proprietary, or sensitive information disclosed by the other party in connection with this Agreement as confidential. Neither party shall disclose such confidential information to any third party without the prior written consent of the disclosing party, except as required by law or judicial order. This obligation of confidentiality shall survive the termination of this Agreement.
La Ruche LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; (c) any content obtained from the services; and (d) unauthorized access, use or alteration of your transmissions or content. Our total liability for any claim arising out of or relating to these terms or our services will not exceed the amount you paid us for the services in the past twelve (12) months.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New Mexico, USA, without regard to its conflict of law principles. Any disputes, controversies, or claims arising out of or relating to these terms or the services provided by La Ruche LLC shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, the parties agree to pursue non-binding mediation in Albuquerque, New Mexico, before resorting to litigation.
We reserve the right to modify these Terms and Conditions at any time. Any changes will be effective immediately upon posting the updated terms on our website. Your continued engagement with our services after any such changes constitutes your acceptance of the new Terms and Conditions.
